Communications Minister calls special South African Post Office (SAPO)
shareholder' meeting in April
Communications Minister, Dr Ivy Matsepe-Casaburri today briefed the board of
the South African Post Office on the outcome of the investigation into SAPO.
The Minister also informed the board that she was calling a meeting of
shareholders to be held on 23 April 2007 and also gave notice of such intention
to Mr Khutso Mampeule, the CEO of SAPO.
The intention of the shareholder's meeting is to consider the removal of Mr
Khutso Mampeule as a director of the board in terms of section 220 of the
Companies Act which states in section 220 (1) (a) as follows, 'A company may,
notwithstanding anything in its memorandum of articles or and in any agreement
between it and any director by resolution remove a director before the
expiration of his period of office.'
The reasons for the proposed removal of Mr Mampeule are:
a) The loss of confidence in Mr Mampeule by the Minister.
b) The breakdown of trust between the board and Mr Mampeule as a result of his
failure to provide the board with relevant, appropriate and accurate
information regarding the work of the Post Office.
The Minister thanked the Chairperson of the board, Ms Phuti Tsukudu, whose
term ended in February, for her agreement to extend such term to the end of
March, thus enabling the Minister to receive the report and brief the board on
it. The board will deliberate on all matters in its competence and decide on
what further corrective action to take.
